By accessing or using the Shobdo websites (www.shobdo.ai, videorag.shobdo.ai, ui.shobdo.ai) or any products and services offered by Shobdo, LLC ("Shobdo," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. You must be at least 18 years old to use our services. If you use the services on behalf of a business, you represent that you have authority to bind that business, and "you" means that business.

Shobdo provides AI-powered products and services, including:
Individual services may be governed by a separately signed agreement (for example, a pilot or subscription agreement). Where a signed agreement conflicts with these terms, the signed agreement controls for that service.
Some services require an account. You agree to provide accurate information, keep your credentials confidential, and notify us promptly of any unauthorized use. You are responsible for activity under your account. We may suspend accounts that violate these terms.
Where the service includes an on-premises appliance (the "Edge Agent"), the Edge Agent remains the sole property of Shobdo unless expressly sold to you. You agree to provide it a safe location, continuous power, and network connectivity; not to move, open, modify, or reverse-engineer it or allow third parties to access it without our consent; and to allow us reasonable access to install, service, update, or remove it. You are responsible for loss or damage caused by negligence or misuse, normal wear excepted.
You authorize Shobdo to access your security cameras, network video recorders, and local network solely as needed to provide the services, and you represent that you own or control these systems and have authority to grant this access. As between you and Shobdo, you own your camera footage and are the data controller responsible for it, including its retention and deletion on your own equipment. Shobdo does not store your footage in its backend systems. You are responsible, as the camera owner and (where applicable) employer, for any legally required notices to or consents from your customers and employees regarding video monitoring.
Shobdo owns and retains all intellectual property rights in the services, the Edge Agent, and the underlying software and models. Shobdo owns the machine-generated outputs of its system — scene sensing logs (text descriptions of analyzed activity) and the queries you submit with their responses — and may retain and use them to operate, evaluate, and improve its products and models. If you provide feedback or suggestions, you grant Shobdo a perpetual, irrevocable, royalty-free license to use them without restriction.
The services are a decision-support tool, not a security guarantee. The services use AI, will not detect every theft, loss, fraud, or event, and will sometimes generate false or inaccurate alerts, detections, identifications, or descriptions. AI outputs are provided for operational awareness only. You are solely responsible for all decisions and actions you take, including any employment, disciplinary, accusatory, or law-enforcement action, and you agree not to rely on the services as the sole basis for any such action, and not to represent or use the services' outputs as forensic findings or evidence in any court, legal, or disciplinary proceeding. Independently verify any output before acting on it.
If you opt in to SMS alerts in your account settings, you consent to receive recurring automated security alert text messages from Shobdo at the mobile number you provide. Consent is not a condition of using any other feature of the services. Message frequency varies based on activity detected at your monitored locations. Message and data rates may apply. Reply HELP for help or contact support@shobdo.ai; reply STOP at any time to cancel, or disable SMS alerts in your account settings. Mobile carriers are not liable for delayed or undelivered messages. Voice interactions between you (or your authorized users) and the services — for example, spoken queries — are recorded and constitute queries and responses owned by Shobdo under Section 7. By using voice features, you consent to this recording and will ensure your personnel and other authorized users are informed and consent likewise. The camera-monitoring component of the services does not capture or record audio of customers or employees.
You agree not to: use the services for unlawful surveillance or in violation of any applicable law; attempt to access other customers' data; probe, disrupt, or overload our infrastructure; reverse-engineer the services or models; or resell the services without our written agreement. You are responsible for using any identification or recognition features in compliance with applicable privacy, biometric, and surveillance laws, including any required notices and consents.
Fees, if any, are stated in your order, subscription, or signed agreement. Except as required by law or expressly stated, fees are non-refundable. We may change pricing with at least 30 days' notice; changes apply from your next billing period.
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these terms.
Either party may terminate service as set out in the applicable order or agreement; where none applies, either party may terminate on fifteen (15) days' written notice (email suffices). We may suspend or terminate immediately for material breach or unlawful use. Upon termination: your footage remains yours on your own equipment; we will remove (or you will return) any loaned Edge Agent within a reasonable period; and Shobdo retains scene sensing logs and queries/responses under Section 7. Sections 7, 8, 15, 16, and 18 survive termination.
EXCEPT AS EXPRESSLY STATED, THE SERVICES AND EDGE AGENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND SHOBDO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST GOODWILL, OR LOSSES ARISING FROM THEFT, FRAUD, OR ANY EVENT THE SERVICES DID OR DID NOT DETECT. EXCEPT WHERE A SIGNED AGREEMENT STATES OTHERWISE, SHOBDO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO SHOBDO IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR TEN U.S. DOLLARS IF THE SERVICES WERE PROVIDED FREE OF CHARGE).
You will defend and indemnify Shobdo against third-party claims arising from (a) your actions or decisions taken in connection with the services, including any employment or accusatory action; (b) your failure to provide legally required customer or employee notices or consents; and (c) your breach of these terms.
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including power or internet outages, failures of third-party providers, labor disputes, or governmental action.
These terms are governed by the laws of the State of New Hampshire, USA, without regard to conflict-of-laws rules, and disputes arising from these terms shall be resolved in the state and federal courts located in New Hampshire, except where a signed agreement specifies otherwise. Independent of that choice, Shobdo operates in compliance with the applicable laws of each state in which its services are deployed — for example, Massachusetts recording-consent law for services operated at Massachusetts locations.
We may update these terms from time to time. We will post the revised terms on this page with an updated "Last updated" date; material changes will be communicated to account holders by email. Continued use after changes take effect constitutes acceptance.
